Company Registry in Marshall Islands – How it works
The Marshall Islands Companies Registry is the official registry responsible for the incorporation and maintenance of companies in the Republic of the Marshall Islands. It operates under the Marshall Islands Association Law, which governs the formation and operation of domestic and foreign corporations in the country.
The Marshall Islands Company Registry provides a range of services related to company registration, including the incorporation of new companies, the filing of annual reports and other required documents, and the provision of information about registered entities. It also maintains records of directors, officers, and shareholders of registered companies.The registry is managed by the Marshall Islands Maritime and Corporate Administrators (MIACA), a private company appointed by the government of the Marshall Islands. MIACA acts as the statutory agent for companies registered in the Marshall Islands and provides administrative and corporate services on their behalf.
Under the Republic of the Marshall Islands law, a lot of company information does not need to be filed with the Registry. There are no public registers of directors or shareholders and no requirement to file annual company accounts. Therefore, this information is generally not available and is not included in a Marshall Islands company search. Only if the company chooses to file this information, for example through filing a certificate of directors, is this information available.
